Job Description

Position Overview

Terminix is growing rapidly through acquisitions of pest control companies. This new position has been created to manage all aspects of the accounting for recent acquisitions from purchase accounting to integration to month end close. “Stand alone” acquired companies/branches operate on different operating systems than TMX branches (currently approximately ten acquisitions and growing). The position will direct the activities and manage the staff related to accounting for these acquisitions.  This position reports to the ServiceMaster Sr. Director and Assistant Controller.

Job Responsibilities

  • Due diligence
    • Oversight over accounting due diligence on upcoming acquisitions, working with Mergers and Acquisitions team
    • Review all financial models / business cases and due diligence reports
  • ASC 805 Business Combinations - Purchase Accounting
    • Primary contact with consultants who assist with intangibles valuations and purchase accounting assistance for larger acquisitions and perform detailed review of purchase price allocations
    • Perform purchase price allocations for small acquisitions
    • Direct purchase accounting activities for acquisitions ensuring compliance with U.S. GAAP 
    • Review purchase agreements and work with Mergers and Acquisitions team and Legal team to ensure all entries are recorded in accordance with U.S. GAAP, including  
      • Post-closing adjustment computations
      • Working capital true-ups
      • Contingent consideration/earnout calculation review
  • Month End Close
    • Direct timely P&L close for acquired branches
    • Review P&Ls and resolve issues with accounting staff to ensure accuracy and completeness
    • Direct accounting staff to accurate completion of monthly balance sheet reconciliations
    • Identify intercompany transactions on new acquisitions and ensure they are recorded and eliminated properly
    • Perform accounting for minority interests, as needed
  • Integration of Acquisitions
    • Establish strong communication with acquired company leadership
    • Lead the conversion of cash basis acquired companies to accrual accounting
    • Assist with general ledger mapping and validation to ensure data accuracy and completeness
    • Drive standardization, consistency and improvement of internal controls and accounting policy/practice across acquired locations
    • Accounting lead for identification and resolution of technical accounting issues related to acquired companies (ex. compliance with ASC 606 revenue recognition standard and ASC 842 Leases)
    • Direct accounting staff to resolve integration accounting issues
    • Work with remittance team and locations to drive standardization/optimization of operating system revenue processes

Job Requirements

  • Bachelor's Degree in Accounting
  • CPA required
  • 5 years of related accounting work experience including 1 year of management experience; or equivalent combination of education and experience.
