The Opportunity

In this role you will serve as a legal authority on SEC, NYSE, treasury, corporate finance and governance matters. Additionally, you will provide legal counsel on a broad range of commercial and strategic transactions.

Here are a few additional details about what the role entails:

  • You will be accountable for SEC reporting and compliance efforts, including responsibility for 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 filings, etc.
  • Provide advice and counsel to ensure compliance with SEC regulations, SOX compliance, and stock exchange requirements.
  • You assist with Board and Board Committee matters, including preparation of Board materials.
  • You advise management regarding ways to avoid or mitigate potential claims against the organization and assert claims by the organization.
  • Provides support regarding contract interpretation and guidance, including those related to disputes.
  • As needed, you will manage outside counsel and provide guidance to such counsel related to the company’s strategies, policies and objectives.
  • You will keep the organization abreast of significant decisions and legislative and regulatory developments that may affect its operations.

Desired Experience and Skills

  • You have a JD with excellent academic credentials and are licensed to practice Law in the state of Tennessee
  • Substantial prior litigation experience (10+ years) with a well-established law firm or corporate legal department
  • You are able to easily build rapport and gain the confidence and respect of peers and senior leaders
  • You are known for building high-performing teams and developing talent
  • Excellent oral/written communication skills and attention to detail
