Job Description

Position Overview

ServiceMaster has recently ramped up its international acquisition activity. This new position has been created to manage all aspects of these acquisitions, from purchase accounting to integration to month end close and reporting. The position will own the accounting and monitoring of these international companies, acting as the primary liaison with international finance teams. The position will require travel to international locations.

This position reports to the Director of Technical Accounting and SEC Reporting and will also have responsibility for various SEC reporting and technical accounting workstreams.

Job Responsibilities

Due Diligence

  • Oversight over accounting due diligence on upcoming acquisitions, working with the Mergers and Acquisitions team
  • Review all financial models / business cases and due diligence reports
  • Complete SEC significance tests

ASC 805 Business Combinations - Purchase Accounting

  • Primary contact with consultants who assist with intangibles valuations and purchase accounting assistance for large acquisitions and perform detailed review of purchase price allocations
  • Perform purchase price allocations for small acquisitions
  • Direct purchase accounting activities for acquisitions ensuring compliance with U.S. GAAP
  • Review purchase agreements and work with Mergers and Acquisitions team and Legal team to ensure all entries are recorded in accordance with U.S. GAAP, including:
    • Post-closing adjustment computations
    • Working capital true-ups
    • Contingent consideration/earnout calculations
  • Prepare journal entry to record purchase price allocation, including pushdown accounting
  • Draft and/or review SEC disclosures for Form 10-Q and Form 10-K, as needed
  • Understand international accounting standards (IFRS or local GAAP) to identify and quantify U.S. GAAP differences

Month End Close

  • Direct timely P&L close for acquired companies by working with the local accounts to obtain, review and record account balances in ServiceMaster’s ledger
  • Review P&Ls and resolve issues with local accounting staff to ensure accuracy and completeness
  • Ensure balance sheet reconciliations, etc. are performed timely by the local accountants and perform supplemental reviews, as needed
  • Identify intercompany transactions on new acquisitions and ensure they are recorded and eliminated properly
  • Perform accounting for minority interests, as needed
  • Review foreign currency translation adjustments and ensure accounting for foreign entities is in accordance with ASC 830
  • Perform quarterly (or more frequently as needed) hedge valuations for foreign currency hedges, cross currency swaps and other derivatives
  • Ensure international accounting standard to U.S. GAAP accounting differences are accounted for properly

Integration of Acquisitions

  • Establish strong communication with acquired company leadership
  • Lead the conversion of cash basis acquired companies to accrual accounting
  • Assist with general ledger mapping and validation to ensure data accuracy and completeness
  • Drive standardization, consistency and improvement of internal controls and accounting policies/practices across acquired locations, working with Internal Audit or consultants, as needed
  • Accounting lead for identification and resolution of technical accounting issues at acquired companies (ex. compliance with ASC 606 Revenue Recognition and ASC 842 Leases)
  • Direct local accounting staff to resolve integration accounting issues
  • Direct local accounting staff to accurate completion of monthly balance sheet reconciliations
  • Optimize reporting of international companies balances in accordance with both U.S. GAAP and relevant international accounting standards, as needed
  • Oversight of statutory audits in all international locations, including review of annual audited statutory financial statements and reconciliation to the financials reported to ServiceMaster to identify inconsistencies
  • Coordinate with FP&A to ensure the receipt of timely monthly reporting packages from the acquired companies


  • Assist in the development of a Controller’s handbook for accounting policies that can be applied across the international organization
  • Assist in the development of international reporting procedures for newly acquired companies to ensure compliance with US GAAP and internal control requirements
  • Assist with other technical accounting, SEC reporting and projects, as needed

Job Requirements

  • Bachelor's Degree in Accounting
  • CPA required
  • 5+ years of related accounting work experience including 1 year of management experience; or equivalent combination of education and experience
  • Experience with IFRS
  • Ability and willingness to travel 25%+ of the year
