Position Overview

Provides ongoing, day-to-day legal support, contract review, and counsel on policies and programs.    Supervise in-house counsel and advise business personnel on relevant corporate legal issues. (including sales and marketing, licensing, employment, compliance, environmental, regulatory and customer and vendor relations)




Job Responsibilities

  • Works with Top Legal Counsel to manage the organizations significant litigation and regulatory matters.
  • Advises management regarding ways to avoid or mitigate potential claims against the organization and assert claims by the organization.
  • Ensures that business practices, policies and dealings of the organization meet regulatory requirements.
  • Drafts, reviews, negotiates and advises on sophisticated and complex contracts, such as services. agreements, commercial sales agreements (including cross-business, integrated service offerings to commercial customers), distribution agreements, technology agreements, vendor agreements, joint development agreements and confidentiality agreements. Provides support regarding contract interpretation and guidance, including those related to disputes.
  • Manages outside counsel and provide guidance to such counsel with respect to the company’s strategies, policies and objectives.
  • Confers with the organization’s in-house counsel responsible for the general legal affairs of the operating division to which the particular litigation matter relates.
  • Provides proactive and responsive advice to Business Unit on its day-to-day operations, with respect to environmental, regulatory, compliance, sales and marketing, licensing, employment and customer and vendor relations matters.
  • Develops a thorough understanding of a Business Unit (including its people, products, services, technology, markets, customers and competitors) in order to analyze and communicate the impact of new laws and regulations on the business. Keeps the appropriate Legal Department and/or Business Unit’s employees abreast of significant decisions and legislative and regulatory developments that may affect its operations.
  • Assesses and manages compliance and other risks, including thorough development of formal compliance plans. Assists in the development and oversight of legal and corporate policies and procedures along with other members of the senior Legal leadership team.
  • Provides general advice to a Business Unit’s management for strategy and policy development and deployment.
  • Assists a Business Unit’s Merger & Acquisition (M&A) and ServiceMaster Security & Exchange Commission’s (SEC) corporate governance and finance matters as necessary, including support of due diligence.
  • Makes presentations and provides compliance and other training to large groups
  • Oversees and directs the organizations significant litigation and regulatory matters as well as risk assessment.



Job Requirements

  • Master’s degree (B.A., B.B.A, B.S.) and Law Degree (J.D.)
  • Must be able to practice Law in the state of Tennessee
  • 15+ years of experience
  • Substantial legal experience in litigation matters
  • Should have experience with a well-established law firm or corporate legal department
  • Demonstrate leadership ability; able to gain the confidence and respect of management; able to take direction and act accordingly with conviction and in a timely and high quality manner
  • Excellent oral and written communication skills; acute attention to detail.
  • Proficiency with computers, including strong word processing skills.

Incumbent must be prepared to:

  • Move up to 10 pounds occasionally, by lifting, carrying, pushing, pulling, or otherwise repositioning objects.  
  • Sitting for long periods of time while using office equipment such as computers, phones and etc.
  • Fingering and Repetitive motions; such as movement of wrists, hands and fingers while picking, pinching and typing during your normal working environment.
  • Express or exchange ideas with others through the use of spoken word, quickly, accurately, and at an easily audible volume, and receive detailed information through oral communication at usual speaking levels without correction, and/or make fine discriminations in the nature of sounds in the environment.

Incumbent is required to have: 

  • Close visual acuity to perform detail oriented activities at distances close to the eyes, as well as visual acuity to perform activities at or within arm’s reach with skill, control, and accuracy,  such as preparing and analyzing data, viewing computer screen and expansive reading.

Incumbent will be subject to:

  • Inside working conditions: The change of building environment such as with or without air conditioning and heating.
